NDA. Retainer. Intent. Then the science.

We do not take meetings to “explore synergy.” A mutual NDA is signed, a $5,000 retainer opens the file, and only then do we collect the design intent that becomes a research contract.

The sequence

    Private inquiry

    Counsel or principal writes. No pitch deck. We confirm capacity and conflict before anything is described.

  2. 02

    Mutual NDA

    A Canadian-law mutual non-disclosure is executed first. Nothing of substance is discussed without it.

  3. 03

    $5,000 CAD retainer

    A five-thousand-dollar deposit opens the file. It is credited against the first statement of account.

  4. 04

    Design intent

    We collect constraints, prior art, success criteria, and the silence around the work. This becomes the specification.

  5. 05

    Research contract

    A scoped R&D agreement names the institute, investigators, students, deliverables, and the 13% coordination fee.

  6. 06

    Execution in Canada

    CAD, code, and laboratory output live in a Canadian repository. Access is named, logged, and revocable.

  7. 07

    Transfer under seal

    Work product is delivered to the principal. The vault remains Canadian for as long as the engagement requires.

The NDA is not a formality.

Existence of the work is confidential. So are identities, sketches, and the institutes under consideration. The executable agreement is issued on letterhead after the sealed brief. What follows is the reading copy.

Mutual non-disclosure — summary

  1. Parties. Static Designs (the Atelier) and the Principal, including counsel acting under power.
  2. Purpose. To evaluate and, if commissioned, execute confidential 3D design and sponsored research.
  3. Information. Includes sketches, CAD, intent, identities, budgets, and the existence of the engagement itself.
  4. Territory of the vault. Source repositories, PDM, and laboratory records are hosted on Canadian soil. Access is named and logged.
  5. Term. Five years from last disclosure, or longer where trade secrets persist.
  6. Governing law. Province of Québec and the federal laws of Canada applicable therein.
  7. No licence. Disclosure does not grant IP. Assignment of work product is handled in the subsequent research contract.

This is a reading copy. The executable NDA is issued after the sealed brief, on the Atelier's letterhead, for wet-ink or qualified electronic signature.

Thirteen percent. The rest is the work.

Static Designs takes a 13% coordination fee on the contracted R&D sum. Eighty-seven percent is distributed to professors, students, laboratories, fabrication, and named specialists. The retainer is credited, not stacked.
